Terms (office, B2B)

Scope

These terms apply to GuideUs office plans: guides for an organisation's sites, for visitors and employees. The provider is Umut Serifler, GuideUs (see the imprint).

Readers of guides enter into no contract with us and never pay.

Businesses only

Office plans are sold only to businesses within the meaning of § 14 BGB. When you order, you confirm that you act on behalf of a business and not as a consumer.

There is therefore no consumer right of withdrawal.

Conclusion of the contract

The contract is concluded when you enter your company details in the studio, accept these terms and the data processing agreement, and complete the order.

You are responsible for the content of your guides, in particular for the personal data of your employees and contact persons.

Prices

The Office Team plan costs €29 per location per month or €290 per location per year, plus statutory VAT.

Every location that is not deleted is billed, including a location still in draft, and at least one location. Before you add a location, you see the change in price.

More locations are charged at once: on monthly billing pro rata for the rest of the month on the next invoice, on yearly billing immediately. Fewer locations take effect at the next renewal; there is no refund.

Trial

Each organisation can try Office Team free for 14 days once, with its first office subscription only.

Payment

You pay by card, SEPA Direct Debit or invoice. Stripe issues invoices on our behalf; they are due 14 days after the invoice date. The reverse-charge procedure for businesses in the EU is possible only once we have been issued a German VAT ID [zu bestätigen].

An unpaid invoice is treated as unpaid 30 days after its due date; from then on the subscription counts as not paid.

If payment stops

Grace period: for 14 days everything keeps working. You can edit content, but you cannot create new protected guides, access codes or announcements.

Then for 12 months: guides stay online as they were last published, in every language. The "Made with GuideUs" mark returns. Protected guides show readers only the sections marked as safety; your organisation's administrators still read everything. New actions follow the limits of the Office Free plan: 100 AI actions a month, no new protected guides or access codes, one running announcement; locations other than the first cannot be edited.

After that the Office Free plan also applies to readers: the first location with two languages and one announcement; the other locations show only their safety sections. Safety sections are never cut.

A trial that was never paid for moves to the Office Free plan straight after the grace period, without the 12 months.

Nothing is deleted. As soon as payment resumes, everything is restored at once.

Data processing

The data processing agreement under Art. 28 GDPR (annex) is part of this contract. It must be accepted before ordering and takes precedence over these terms on the processing of personal data.

Cancellation

You can cancel the subscription at any time, effective at the end of the current billing period, in the customer portal.

Periods already paid and removed locations are not refunded.

Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. For slight negligence we are liable only for breach of essential contractual obligations, limited to the typical, foreseeable damage [zu bestätigen].

AI drafts and automatic translations are machine-made. Please check them before you approve them, especially safety information.

Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Berlin [zu bestätigen].

The German version of these terms is binding; translations are for information only.

If a provision is invalid, the remaining provisions stay in force.
